Hereinafter referred to as “company” or “REP”
Revenue Excellence Partners (REP) helps B2B companies to simplify and optimize their customer acquisition. With comprehensive consulting and brokerage services, REP offers customized solutions to improve sales processes, acquire new customers and promote sustainable growth. The aim of these agreements is to maximize the success of customers through professional advice and efficient brokerage of business contacts.
These general terms and conditions apply to all contracts between the company Revenue Excellence Partners GmbH (hereinafter referred to as “company”) and their business partners (hereinafter referred to as “customer”), who provide consulting and brokerage services.
The company offers comprehensive consulting and brokerage services to optimize the acquisition of new customers by B2B companies. In addition to strategic advice, the company also undertakes operational activities, such as providing Sales Development Representatives (SDRs), who actively address new customers, qualify and arrange appointments on behalf of the customer. Services include:
Strategic advice to optimize sales structures.
Operational takeover of new customer acquisition by the company, including actively approaching potential customers.
Provision of SDRs that work on behalf of the customer to generate qualified leads.
Support in the development and implementation of efficient acquisition processes.
In consultation with the company, the agent appoints a number of sales managers to be determined in advance for each month. This number is set by the parties as a function of the number of new licensing agreements sought by the company, and the intermediary should ensure that sufficient human resources are available even in the event of capacity increases. In no case is the use of sales managers a temporary contract. Sales managers alone must follow the agent's instructions; the company has no right to issue instructions to the agent's employees. However, when exercising his right to issue instructions, the agent will take into account the wishes of the company as far as possible and economically justifiable.
The company undertakes to provide the customer with all information and documents required to carry out the consulting and brokerage services. In addition, the company will provide operational support to the customer by providing SDRs and other sales resources that are actively involved in acquiring new customers.
The company is entitled to call in employees or external assistants to carry out its placement and consulting activities. These employees and assistants will have the necessary skills to professionally provide the agreed services. In special cases, the parties can agree on a specific requirement profile for the persons employed.

Provide necessary information and keep the documents provided by the company confidentiality.Notification requirement: The customer is obliged to inform the company immediately whether and when demo appointments, business initiations or contracts have taken place which are attributable to the services provided by the company. These notifications are the basis for calculating the commissions due and must be made truthful and complete.
The required information also includes informing the agent of planned collaborations or mergers with other companies or an intended sale or closure of the company in good time that his entrepreneurial dispositions — in particular with regard to the exercise of his right of termination — are not affected.
On request, the customer will provide the company with appropriate evidence and documentation to prove the conclusion and execution of the brokered transactions.
Compensation models: The remuneration for the company's consulting and placement services is based on the models set out in the individual offers. These offers define specific payment terms and may include the following elements:
Onboarding fee: A one-time fee to set up and prepare the services.
Monthly basic fee: A regular fee for ongoing deployment of salespeople and support from the company.
Success-based commission: A commission based on the agreed demo dates or the revenue generated.
Payment terms:
The costs of onboarding will be charged immediately after signing the contract. The retainer's invoicing depends on the start of the cooperation and is made monthly at the beginning of the corresponding month. The customer has three weeks from the date of invoicing to pay the invoice.
Commission claims are settled in the following month and are based on actual sales success.
Due date of payments: Payments for onboarding and basic fees are due within 21 days of invoicing. Commission-based payments are due in accordance with the conditions set out in the contract after the arranged services have been provided.
The company is liable for damage caused by intentional or grossly negligent breaches of duty. The company is only liable for slight negligence in the event of a breach of essential contractual obligations.
Contract duration: The contract is initially concluded for a period of 6 months. Unless the contract is terminated by a party with a notice period of 6 weeks before the end of the contract, it is automatically extended by a further 6 months.
Cancellation conditions: Each party has the right to cancel the contract with a notice period of 6 weeks to the end of the respective contract period. Unless otherwise agreed in an individual contract, these terms of termination shall continue to apply. The termination must always be made in writing.
Extraordinary termination: The right to extraordinary termination for good cause remains unaffected.
Both parties agree to keep confidential all confidential information that becomes known in connection with this contract. This obligation remains valid for a period of 5 years even after termination of the contractual relationship.
The laws of the Federal Republic of Germany apply to all legal relationships between the company and the customer. The place of jurisdiction is Berlin.
